Legal
Terms and conditions
Last updated: September 3, 2026
This page is a working draft prepared for ChainPal's legal and compliance review. It reflects how the platform actually works today, but has not yet been reviewed or approved as ChainPal's final, binding policy.
These terms govern your business’s use of ChainPal’s payments and treasury platform: checkout sessions, invoices, payment links, terminals, payroll, the OTC desk, destinations, and Copilot. By creating an account, you agree to them on behalf of your business.
1. Who can use ChainPal
ChainPal is built for businesses, not individual retail customers. To use the platform your business must complete identity verification (KYC), and your account must be in approved standing before most features become available.
2. Accounts and team members
The business that owns a ChainPal account is responsible for the actions of the staff members it invites, and for keeping their access limited to what each role actually needs. Staff permissions are configured by the business, not by ChainPal.
3. ChainPal is never a custodian
This is the first of two rules that shape the whole platform. ChainPal never holds a balance of your business’s funds. Every payment lands on a single-use address and routes straight through to a destination your business owns and controls. ChainPal is not a bank, does not offer deposit accounts, and does not hold client funds between transactions.
4. On OTC, ChainPal is the counterparty
This is the second rule. When you request an OTC quote, there is no third-party counterparty: ChainPal itself prices and takes the other side of the trade. Under the auto-quote ceiling, pricing is instant. Above that ceiling, a dealer prices the ticket by hand and holds the quote firm for ten minutes. Once an OTC trade executes, it is final.
5. Fees
Fees for each product are usage-based, as described on our pricing page, with no setup fees and no monthly minimums. By using a product you agree to the fees in effect for that product at the time of the transaction. We will give notice before changing our fee structure.
6. Acceptable use
- You will not use ChainPal for any illegal purpose, including money laundering or financing of terrorism.
- You will not attempt to transact with sanctioned individuals, entities, or jurisdictions.
- You will not misrepresent your business, your beneficial owners, or the purpose of a transaction during KYC.
- You will not attempt to circumvent, disable, or interfere with the platform’s security features.
7. Verification and account status
We may request additional information at any time to complete or refresh KYC and AML checks, and may suspend or restrict an account while verification is pending or where we have a good-faith concern about misuse. We will tell you why whenever we are able to.
8. Intellectual property
The ChainPal name, logo, and the platform itself are owned by ChainPal. These terms do not grant you any rights to our intellectual property beyond what is needed to use the platform as intended.
9. Disclaimers
The platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free service. Where a transaction involves a stablecoin or other digital asset, you accept the settlement and network risk inherent to that asset, separate from and in addition to any risk ChainPal itself introduces as OTC counterparty.
10. Limitation of liability
To the maximum extent permitted by law, ChainPal is not liable for indirect, incidental, or consequential damages arising from use of the platform. Nothing in these terms is intended to limit liability in a way that is not permitted under applicable law.
11. Indemnification
Your business agrees to indemnify ChainPal against claims arising from your use of the platform in violation of these terms or applicable law.
12. Termination
Either party may terminate an account, subject to any obligations (including fees already incurred and recordkeeping requirements) that survive termination.
13. Governing law and disputes
This section is a placeholder pending legal review. The governing law and dispute resolution process for these terms have not yet been finalized by ChainPal’s legal counsel.
14. Changes to these terms
We will update the "last updated" date at the top of this page whenever these terms change, and will provide notice of material changes.
